By accessing or using Thyonix ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

Thyonix is an AI-powered lead generation and website building platform that enables users to:

• Search for and discover local business leads using the Google Places API
• Generate AI-powered websites using our proprietary AI models
• Create and send email campaigns through integrated email providers
• Send WhatsApp campaigns through the WhatsApp Business API
• Track campaign performance and lead engagement
• Manage leads through a CRM pipeline

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to use Thyonix. By creating an account, you represent and warrant that you meet this age requirement.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Subscription Plans and Payment

4.1 Pricing

Thyonix offers multiple subscription plans:

• Free Plan: Limited features at no cost
• Pro Plan: Monthly or annual subscription with full features
• Agency Plan: Monthly or annual subscription with team features

4.2 Billing

By subscribing to a paid plan, you agree to pay all fees associated with your subscription. Payments are processed securely through Stripe. You authorize us to charge your payment method on a recurring basis according to your billing cycle.

4.3 Refunds

We offer a 14-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 14 days of your initial purchase. Refunds are not available for renewals or upgrades.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial billing periods.

5. Acceptable Use

5.1 Prohibited Activities

You agree NOT to use Thyonix to:

• Send spam, unsolicited emails, or messages to individuals who have not opted in
• Violate CAN-SPAM Act, GDPR, or other anti-spam regulations
• Send malicious content, phishing attempts, or fraudulent communications
• Scrape or harvest data from the Service without authorization
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload viruses, malware, or other malicious code
• Impersonate any person or entity or misrepresent your affiliation
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Use the Service to harm, harass, or threaten others

5.2 Email and WhatsApp Compliance

When using Thyonix to send email or WhatsApp campaigns, you agree to:

• Only contact businesses or individuals who have a legitimate business relationship with you or have opted in
• Include accurate sender information and a clear way to opt-out/unsubscribe
• Comply with CAN-SPAM, GDPR, CCPA, and other applicable laws
• Respect WhatsApp's Business Policy and messaging limits

6. Intellectual Property

6.1 Thyonix IP

The Service, including its software, design, text, graphics, and other content, is owned by Thyonix LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

6.2 AI-Generated Websites

Websites generated using Thyonix's AI belong to you. You retain full ownership and commercial rights to use, modify, and distribute AI-generated website code. However, you may not claim that Thyonix's AI technology itself is your own intellectual property.

6.3 User Content

You retain ownership of content you upload to Thyonix (email copy, images, client data, etc.). By uploading content, you grant us a limited license to use, store, and display your content solely for the purpose of providing the Service to you.

7. Third-Party Services

Thyonix integrates with third-party services including:

• Google Places API for lead discovery
• Email providers (Gmail, Outlook, Resend, Zoho, custom SMTP)
• WhatsApp Business API and Twilio for messaging
• Stripe for payment processing

Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or performance of third-party services.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

8.2 AI-Generated Content

AI-generated websites and email copy are provided as-is. While we strive for quality, we do not guarantee that AI-generated content will be error-free, accurate, or suitable for your specific purposes. You are responsible for reviewing and approving all AI-generated content before use.

8.3 Limitation of Liability

To the maximum extent permitted by law, Thyonix LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of your use of the Service.

9. Indemnification

You agree to indemnify and hold harmless Thyonix LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Non-payment of fees

Upon termination, your right to use the Service will immediately cease. We may delete your data after a 30-day grace period.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of Thyonix after such changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
